Terms of Service

These Terms of Service ("Terms") govern access to and use of websites, software, support, consulting, and related services provided by Acent Co., Ltd. ("ACENT," "we," "our," or "us"). By accessing or using ACENT services, you agree to these Terms on behalf of yourself or the organization you represent.

1. Services Covered

These Terms apply to ACENT websites, ACENT Flow, Freshdesk-related applications and integrations, implementation services, support services, and any other ACENT service that links to these Terms. If a signed order form, statement of work, marketplace order, or partner agreement applies to a specific service, that document controls if it conflicts with these Terms.

2. Accounts and Access

You are responsible for keeping account credentials, API keys, administrator permissions, and integration settings secure. You must promptly notify ACENT if you believe an account or credential has been compromised. You are responsible for activity that occurs through your accounts and connected systems.

3. Customer Data

Customer Data means data submitted to or processed through ACENT services by you, your users, or connected third-party systems. You retain ownership of Customer Data. You grant ACENT the limited right to process Customer Data as needed to provide, secure, support, and improve the services. You are responsible for having the rights and notices required to submit Customer Data to ACENT services.

4. AI-Assisted Outputs

Some ACENT services use AI to summarize information, suggest classifications, draft responses, or recommend next actions. AI outputs are assistive and may be incomplete or inaccurate. Users must review outputs before relying on them, sending them to end users, or applying them to business records. ACENT Flow is designed around human review and approval before customer-facing Freshdesk write-back.

5. Acceptable Use

You may not use ACENT services to violate law, infringe third-party rights, distribute malware, interfere with service operation, bypass security controls, overload systems, reverse engineer non-public service components, or attempt unauthorized access to ACENT, Freshworks, customer, or third-party systems.

6. Third-Party Services

ACENT services may connect with third-party platforms such as Freshworks, Google Cloud, payment providers, and AI model providers. Your use of third-party services is governed by their own terms and policies. ACENT is not responsible for third-party services outside our control.

7. Fees and Taxes

Fees, billing periods, payment terms, refunds, and taxes are governed by the applicable quote, order form, marketplace order, statement of work, or invoice. Unless otherwise stated, fees are non-refundable after the service period begins.

8. Intellectual Property

ACENT and its licensors retain all rights in ACENT services, software, documentation, designs, trademarks, and technology. These Terms do not transfer ownership of ACENT intellectual property. If you provide feedback, you grant ACENT permission to use it without restriction or obligation.

9. Confidentiality

Each party may receive non-public business, technical, security, pricing, or customer information from the other party. The receiving party will protect confidential information with reasonable care and use it only for the purpose of providing or receiving the services.

10. Service Changes

ACENT may update, improve, suspend, or discontinue features to maintain security, comply with law, support third-party platform changes, or improve service quality. We will use reasonable efforts to avoid material disruption to active paid services.

11. Disclaimers

To the maximum extent permitted by applicable law, ACENT services are provided "as is" and "as available" unless a separate written agreement states otherwise. ACENT does not guarantee uninterrupted service, error-free operation, or that AI-assisted outputs will be complete, accurate, or suitable for every use case.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ACENT will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. ACENT's total liability for a service is limited to the fees paid for that service during the three months before the event giving rise to the claim, unless a separate written agreement states otherwise.

13. Termination

Either party may terminate a service according to the applicable order form or written agreement. ACENT may suspend or terminate access if continued use creates security risk, legal risk, non-payment, or material breach of these Terms.

14. Governing Law

Unless a separate written agreement states otherwise, these Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules.
